Iranian academic sector is approaching research commercialization, although, creation of university spin-offs is an initial experience in this sector. Legislation of “knowledge based firms support and commercialization of invention and innovations” has provided great opportunity for the creation of this type of firms in universities and research institutes. But universities and research institutes are still required to complete their infrastructures including rules and regulations needed for the creation of spin-offs. One of the most important of these is "allocation of university spin-off equity among their owners" regulation. Owners of university spin-offs are universities and research institutes, inventor researchers, investors and external entrepreneurs. Allocation of spin-off equity among these parties satisfactorily, is one of the important challenges to spin-off creation in universities and research institutes. This article first tries to identify founders and other parties that are gradually added to owners of spin-off companies. Then stakeholder's equity determinant factors will be discussed. Finally implementation of a framework for the allocation of spin-off companies' equity among their owners will be raised. 10 universities in America, Britain and Canada with spin-off creation experience have been studied in this article. Today, managers have come to this understanding that technology is the main source of competitive advantages and also growth in firms, hence it must be taken into consideration. Although Technology Management (TM) has become popular in the management area and many frameworks have been proposed, a practical framework and management tool is not available yet. To this point, Dynamic Capabilities Theory (DCT) has been utilized to introduce a TM framework in technology-based firms by focusing on the creation of the dynamic capabilities’ flows. This article aims to clarify TM activities in DCT context, and moreover tries to determine relationships and interactions among TM, Knowledge Management (KM), and Innovation Management (IM) concepts. By reviewing TM frameworks proposed by different scholars an integral and appropriate framework based on Cetindamar’s et al. (2010) is suggested for technology-based firms. By considering that each of TM activities (Acquisition, Exploitation, Identification, Learning, Protection, and Selection) can create a specific dynamic capability ,six TM tools namely, Patent Analysis, Portfolio Management, roadmapping, S-curve, stage-gate, and Value analysis are described to implement TM activities. These six TM tools and the six TM activities could be a well starting point to apply TM in firms. Manuscript profile

ncubators assist emerging ventures by providing support services and assistance in developing their business. We map business incubators into four categories: Business Innovation Centers (BICs), University Business Incubators (UBIs), Independent Private Incubators (IPIs) and Corporate Private Incubators (CPIs). We then argue that the variety of incubating organization is driven by the evolution of companies, requirements and needs, which encourage incubators to differentiate the range of services that they offer. We believe that differences in the way incubators run their business can be described by two main incubating models (model 1 and model 2), providing incubators with useful indications on how to position themselves strategically. We identify a list of incubator "characterizing" variable to highlight the main differences between the four types of incubators and to describe the incubating models. Manuscript profile

This article examines the relationship between company orientation(entrepreneurial orientation and market orientation), internal control systems and new product development. Different researches results provide valuable insights on the role of the company orientation in New Product development. Entrepreneurial orientation helps the companies to have personal control in order to have great improvement in new product development activities .on the other hand market orientation emphasis more in output control than personal control in new product development. Manages in firms that emphasize output controls are evaluated and rewarded on the basis of objective financial criteria. Personal control on the other hand, focuses on long-term performance rather than short term financial targets. Generally personal control requires more time and has a higher coordination cost than output control. In recent decades, companies consider new product as a source of competitive advantage and means of anticipating the competitors. Some marketing research have found the relationship between market orientation and new product development. The goal of market orientation is to satisfy current market needs, rather than to develop new products targeted at emerging new needs. Some researchers criticize market orientation ,They suggest that entrepreneurship orientation must replace with market orientation. Some researches focus on one of the orientation , on the other hand they ignore the role of internal control systems as a mediating variable . Therefore we survey this subject completely. This study in terms of methodology is descriptive correlation. Manuscript profile

Science and technology parks are institutions supporting technology companies. The performance evaluation of technology companies will help them to improve their performance and make the park supportive services more effective and helpful. Performance evaluation is one of the most important priorities of Yazd Science and Technology Park. Therefore, the purpose of this paper is to design and explain a performance evaluation model of technology companies in this Park and analyze the results of its implementation. The evaluation model of Park is based on various performance evaluation models and theories, as well as through brainstorming with park managers and technology companies. This model evaluates the technology companies in four areas: nature of the company, structure and human resources, main idea and technology, and market. The evaluation process is designed according to both quantitative (documents and non-confrontational??) and qualitative (face to - face interviews) indicators. Then, based on this model, information of technology companies are collected and analyzed by an evaluation system. The results of evaluation showed that although the status of companies is far from the park's expectations and goals, it is acceptable in comparison with the community (province and the average of country) in terms of the value-added of manpower and the cost of employment. Also, the analysis of the results represented the validity and comprehensiveness of the model in assessing technology companies. Manuscript profile

Science and Technology Parks (STPs) and incubators, as major contributors to the economic development of the regional business enterprises, are committed to provide targeted support for entrepreneurs, improve manufacturing efficiency, and create economic growth in the community. In order to improve the impact of these supports, STPs and incubators periodically evaluate the activities of residents and, after identifying strengths and weaknesses, provide services tailored to each company's needs. However, it is worthy to ask, what indicators should the evaluation system include that can reflect a true and more comprehensive picture of the company's condition with presenting the company's core needs to the incubator manager? Therefore, in this research some general models of performance evaluation have been reviewed, and because of the benefits of BSC model, especially its compatibility to manufacturing SMEs, this system has been used for the principle of the current study. Then, based on 17 years experience of Khorasan Science and Technology Park in unlocking the region's manufacturing potential, and the opinions of experts in other incubators in the country and around the world, 104 critical indicators have been identified in evaluating the manufacturing SMEs. These indicators also were ranked using U Mann Whitney and Friedman statistical tests. The results showed that the "customer and market" is more important than the other three perspectives in BSC model, and "Market research" and "CEO capability and expertise" are the most important indicators and sub-indicators, respectively. Innovation is a necessary requirement for companies to gain and maintain competitive advantage. This is largely due to the rapid development of technologies. In order to survive in the competitive environment, large companies should also strive for innovation in different parts of their organization. Therefore, the issue of adaptability is particularly important in introducing the innovation model. It can be assumed that inter-company collaboration is increasingly important at different stages of business development and that large corporations are willing to engage with startups. This interaction allows start-ups to overcome the problems that emerge in the early stages of business development, and on the other hand, the influx of innovation for large corporations increases the competitive advantage against their rivals, to gain more market share. The purpose of this article is to analyze the methods of collaboration between large corporations and start-ups, especially to examine the needs of innovation in the economy. This partnership can take many forms, and this article reviews the different types of partnerships between large corporations and startups that relate to business acceleration activities, co-creation, co-branding, acquisition, acqui-hiring and open innovation. Finally, by examining each of these methods of cooperation, we conclude that cooperation in any way can be beneficial to both parties and there are important points that must be considered before and during the cooperation process, so that both companies can ultimately benefit from the relationship. The purpose of this research is to identify and prioritize the criteria of knowledge management systems using BSC. The research method is descriptive-survey and the type of applied developmental research is Friedman and AHP ranking tracking method. Statistical population included all experts and top managers of Pars Khodro Company (157 people) and sample size was 111 people based on Cochran formula. Data were collected using a questionnaire designed by previous studies and expert opinions. Content validity index (CVR) was used to determine the validity of the questionnaire and Cranach’s alpha coefficient of 0.728 was used to determine its reliability. Data were analyzed using SPSS and EXPERT CHOICE statistical software. The results showed that: BSC's vision is financial, customer, growth and learning and internal processes respectively. From the financial point of view, the CEO's financial knowledge is the highest and avoidance of duplication of costs is the lowest, and from the customer's perspective, the highest priority is to improve the quality of customer service and the customer's least. And change in the system is the least important of the improvements, and lastly, the internal process view has the least degree of effectiveness of the system in achieving the most desirable organizational objectives and document size. Venture capital is a tool for funding innovative and knowledge-based companies. The degree of importance that venture capitalists place on negotiable items is one of the challenges associated with this type of investment. Furthermore, investors' flexibility is a crucial component of the VC investment process. The purpose of this research was to identify and rank what venture capitalists consider negotiable with startups. For this purpose, the negotiable items were identified through a literature review and then the validity of the questionnaires was evaluated and approved by experts. Consequently, the data of 26 experts in the field of the venture capital industry in Iran is collected through two questionnaires on a 5-point Likert scale. Reliability was determined using Cronbach's alpha. Therefore, the research method was a descriptive survey based on the nature and data collection, and in terms of purpose, it was a practical development. Finally, the data were analyzed and ranked using multi-criteria decision-making algorithm (Shannon’s entropy and TOPSIS) based on the degree of importance and flexibility attributes. According to the findings of this study, these negotiable items fell into the descending order based on two criteria including importance and flexibility: preferred stock, board control (control rights), pro-rata rights, investment amount, valuation, performance indicator, liquidation preference rights, ownership stake, information rights, vesting, anti-dilution rights, tag-along rights, drag-along rights, option pool, dividends, participation rights, pay to play provisions and redemption rights (repurchase rights).
